How to Register a Partnership Firm in Pakistan

In Pakistan, you have to register a partnership before you can start a business with a partner. Partnership is also known as firm. Registered Partnership / Firm can help you in many ways. Like, people will trust you more, there will be less chance of a fight between partners, and so on. How to register a partnership in Pakistan is set by the Partnership Act of 1932. Once the firm registration process is done, you can use certain legal rights that unregistered firms can’t use.

 

Here, we’ll talk about how to register a firm? What do you need to do to register a partnership? And how much does it cost to start a firm in Pakistan?

But first, it’s important to talk about what firm means.

What is Firm or Partnership?

In Section 4 of the Partnership Act, the word “Partnership” is defined;

It is a relationship between people who have agreed to share the profits and losses of a business run by all of them or any of them acting for all of them.

Persons who have entered into partnership with one another are called individually
“partners” and collectively “a firm”, and the name under which their business is carried on is called the “firm name”. A partner is the agent of the firm for the purposes of the business of the firm.

Most of the time, a partnership is possible when the business operations are small or medium-sized. Even though there is no law in Pakistan that declares a firm or partnership registration is mandatory. However, Section 58 and 59 of the Partnership Act, 1932 governs the partnership registration.

 

Even so, registering a partnership firm does have some tax and legal effects that are good for the business.

Types of Partnership

Partnership Act, 1932, mentions two kinds of partnerships: “partnership at-will” and “particular partnership.” 

  • Partnership at-will is a type of partnership in which there is no agreement between the partners about how long the partnership will last or how it will end. It is a partnership for an undetermined amount of time, but it can be ended by giving notice to all the partners. 
  • Particular Partnership is a type of partnership in which one person can join another person in certain adventures or projects for a certain amount of time. When a certain business or project is finished, a particular partnership will terminate.

Offices to Register a Partnership

In almost all big cities, the government has opened a place where businesses can register. In these offices, a person (called the registrar of the firm) has been put in-charge. After the firm registration process is done, Registrar of Firms gives out certificate of registration.

What Information Do You Need for Firm Registration

To register a firm, you need at least two but no more than Twenty (20) people. a partnership having more than 20 persons is illegal. Section 58 of the Partnership Act of 1932 also lays down the procedure for registration of the firm.  These prerequisites are;

  • Name of firm
  • Principal place of business
  • Names of all other places where the firm carries on business, 
  •  Each partner’s date of joining firm
  • Full names and permanent addresses of each partner
  • Duration of the firm

What Documents You Need To Register a Partnership in Rawalpindi/Islamabad

To register a business as a firm or a partnership, you’ll need these papers.

  • Fill out Form No. 1 for Partnership
  • Partnership Deed on Stamp Paper for Rs. 1000 duly notarized.
  • A statement about correctness of provided information. This statement should be on Rs. 50 worth of stamp paper.
  • Evidence of payment of Firm registration fee.
  • Rent agreement for office space.
  • Utility bill of office / business premises,  electricity.
  • A copy of the partners’ and witnesses’ computerized national ID cards.

Procedure to Register a Partnership

After having chosen the desired name for the firm, you must write a comprehensive partnership deed and get it notarized. Then, fill out Form No. 1 by providing comprehensive and accurate details. Next, write the affidavit on stamp paper about correctness of information in Form No.1and get it notorized. Deposit the registration fee on prescribed challan in designated bank account. Make a complete file and either submit personally, through agent or send through mail to registrar of firms. 

 

After inspection of application and attached documents, registrar shall give you a date for personal appearance before him of all partners for verification. This date for appearance is normally after 3 to 7 days depending upon the work load. 

After verification of partners and his satisfaction about accuracy of submitted documents, registrar will make entry in Register of firms. After this he shall issue certificate of registration of firm / partnership. This certificate is called form C as well.

How to Add or Remove a Partner from a Registered Partnership Firm

How can a new partner be added to a partnership business that is already up and running? If you want to add a new partner to a business, you have to file an amended partnership deed with affidavits from all of the partners, both old and new.

 

All partners will go to the firm’s registrar and state the changes. Then you will be given a new Form C.
